MarieFM.com provides intercultural business communication services, coaching, training, and associated resources (collectively, the “Services”). We retain full discretion to modify, suspend, or terminate Services at any time, without notice.

7. Indemnification

You agree to fully indemnify, defend, and hold harmless US-J Connect, Marie Finnigan-Miyaishi, and related individuals from all claims, liabilities, damages, and expenses (including attorney fees) arising from your use of the Website or breach of these Terms.

8. Accessibility and Disability Accommodation

You explicitly agree to provide us at least thirty (30) calendar days to address and rectify any claimed accessibility issue before initiating any legal or administrative action. 9. Mandatory Dispute Resolution and Mediation

If informal resolution fails, mandatory mediation shall occur either virtually or physically in Beaverton, Oregon, with you bearing all related travel and administrative costs if attending physically.

You explicitly waive all rights to class-action or representative actions.

10. Termination and Suspension

We reserve unconditional rights to terminate or suspend your access to our Website and Services at any time, without prior notice or liability.

11. Governing Law and Exclusive Jurisdiction

These Terms are governed exclusively by the laws of Oregon, USA. You consent to exclusive jurisdiction in Oregon courts.

12. Administrative Fee for Frivolous Claims

If you file any claim, lawsuit, complaint, or demand in breach of these Terms (including failure to provide the required 30-day notice), you explicitly agree to reimburse US-J Connect an administrative fee of $1,500 USD, plus reasonable attorneys’ fees incurred in responding to such frivolous claims. This fee represents a genuine pre-estimate of administrative and legal costs we incur in addressing improper or premature claims. Failure to remit this fee within thirty (30) days of invoicing will incur interest at a rate of 1% per month, compounded monthly, plus collection costs.

13. Changes to Terms

We reserve the right to amend these Terms at any time. Changes become effective immediately upon posting. Continued use constitutes acceptance.

14. Miscellaneous Provisions

  • Entire Agreement: These Terms represent the entire agreement regarding the Website and Services.
  • Severability: Invalid or unenforceable terms shall not affect the remainder.
  • No Waiver: Our failure to enforce any provision does not waive future enforcement.
  • Force Majeure: We are not liable for delays or failures caused by events outside reasonable control (natural disasters, cyberattacks, pandemics, government actions).
